Terms of Sale: Theo Licenses Bought Online
This section: 2026-10-02.
These terms apply to Theo licenses bought on this website, together with the End User License Agreement (EULA), which governs the use of Theo. For such purchases they take precedence over section 9 below.
Seller

What You Buy
- A non-exclusive, non-transferable license to use Theo on one computer: the one whose machine code is given in the order (Theo shows it under Help ▸ License…). The license file works on that computer only.
- A license for one week, one month or one year runs from the day of payment. If that computer holds a license bought here that is still running, the new one starts the day after it ends. The order form shows the dates before payment.
- Where offered, a perpetual license allows use without time limit on that computer, with updates and support for one year from the purchase; versions released after that year are not covered.
Prices and Payment
Prices are net of VAT. VAT is added as the law requires for the buyer's country and status (a business in another EU country with a valid VAT number is invoiced without VAT, under reverse charge), and shown before payment. Payment is by card, processed by Stripe. The contract is made when the payment is completed.
Delivery
The license file, the invoice and the license certificate are sent by email to the address given in the order as soon as the payment is confirmed, and stay available in the buyer's account on this website (sign in with that email address).
Right of Withdrawal (Consumers)
A consumer in the European Union may withdraw from a distance contract within 14 days. A Theo license is digital content delivered at once: at checkout the buyer asks for immediate delivery and acknowledges losing the right of withdrawal by it. The right of withdrawal therefore ends when the license is delivered.
Refunds and Corrections
Apart from the cases the law provides for, a payment is not refunded once the license is delivered. If the machine code given in the order was wrong, write to us: we reissue the license once, for the right computer, at no charge. A refund, where made, is followed by a storno invoice cancelling the invoice, and the license is withdrawn.
Invoices
Invoices are electronic, issued through szamlazz.hu and reported to the Hungarian tax authority (NAV) as the law requires.
Complaints and Applicable Law
Questions and complaints: info@nonlineum.com. Hungarian law applies; for a consumer, the protections the law of their country of residence makes mandatory are unaffected.
1. Scope
These Terms of Service govern the use of the website nonlineum.com and services provided by Nonlineum Labs.
2. Services
Nonlineum Labs provides:
- Wastewater treatment simulation software (Theo)
- Consulting services for wastewater treatment facilities
- Technical documentation and support
3. User Accounts (When Implemented)
3.1 Registration
To access certain features, you may need to create a user account. You must provide accurate and complete information during registration.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized access.
3.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these terms.
4. Software Licensing (Theo)
4.1 License Grant
Subject to payment and these terms, we grant you a non-exclusive, non-transferable license to use Theo software.
4.2 Restrictions
You may not:
- Reverse engineer or decompile the software
- Redistribute or resell the software
- Remove copyright notices or proprietary markings
- Use the software for illegal purposes
5. Consulting Services
5.1 Scope of Services
Consulting services are provided based on individual contracts and project scope definitions.
5.2 Professional Advice Disclaimer
While we strive for accuracy, our recommendations are based on available information and accepted engineering practices. Implementation decisions remain the client's responsibility.
6. Intellectual Property
All content, including software, documentation, and methodologies, remains the intellectual property of Nonlineum Labs unless otherwise agreed in writing.
7. Liability
7.1 Limitation of Liability
The website. The pages, the blog and the documentation on this website are general information, given free of charge. They are not engineering advice for a particular plant, and we do not warrant that they are complete, current or free of errors. We run the website, its user accounts and the client file area with the care that can generally be expected, but cannot promise that they are always available or free of faults; keep your own copies of the files you exchange with us there. We are not responsible for the content of other websites we link to.
Theo and our services. The use of Theo is governed by its End User License Agreement, including its disclaimers and limitation of liability (sections 9 and 10); consulting services by the contract made for them. Where those provide otherwise, they take precedence over this section.
Indirect damage. Otherwise, to the extent Hungarian law permits, we are liable only for direct damage, not for lost profit, lost business or other indirect or consequential damage.
What is not limited. Nothing in these terms excludes or limits our liability for damage caused intentionally, for damage to life, physical integrity or health, or any other liability that Hungarian law does not allow to be excluded or limited; nor do they affect the rights a consumer has under mandatory law.
7.2 Data Loss
We are not liable for data loss resulting from user error, system failure, or force majeure.
8. Data Protection
Use of our services is subject to our Privacy Policy. By using our services, you consent to data processing as described in the Privacy Policy.
9. Payments and Refunds
9.1 Pricing
Current pricing for software licenses and consulting services is available upon request.
9.2 Payment Terms
Payment terms are specified in individual contracts. Late payments may result in service suspension.
9.3 Refunds
Refund policies are specified in individual contracts and purchase agreements.
10. Changes to Terms
We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance of modified terms.
11. Governing Law
These terms are governed by Hungarian law. Place of jurisdiction is Budapest, Hungary.
